Terms of Service

Please read these Terms of Service ("Terms") carefully before using StarFlywheel ("Service", "we", "us", or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.
StarFlywheel is a product of Ascend Net Solutions, LLC. These Terms are between you and Ascend Net Solutions, LLC.
1. Acceptance of Terms
By creating an account, accessing, or using StarFlywheel, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.
These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content.
2. Description of Service
StarFlywheel is a review growth tool designed to help local businesses increase their Google Maps visibility by generating more customer reviews. The Service includes:
- Review request management and automation
- QR code generation for in-store review requests
- Shareable review links
- SMS and email templates for review requests
- Review analytics and insights
- Customer management tools
3. User Accounts
To use certain features of the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information to keep it accurate, current, and complete
- Maintain the security of your password and identification
- Accept all responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account or any other breach of security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Request or encourage fake reviews, paid reviews, or reviews from individuals who have not used your services
- Manipulate or attempt to manipulate review platforms or their algorithms
- Send spam, unsolicited messages, or harassing communications
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Use the Service for any illegal purpose or in violation of any local, state, national, or international law
- Collect or store personal data about other users without their express permission
You agree to comply with all platform guidelines, including but not limited to Google Business Profile guidelines, when using our Service to request reviews.
4.1 SMS Messaging Compliance
SMS messaging is currently available to businesses located in the United States and Canada only. If you use SMS features available through the Service, you acknowledge and agree to the following:
- Consent responsibility. You are solely responsible for obtaining prior express consent from each of your customers before sending them SMS messages through our platform, in compliance with the Telephone Consumer Protection Act (TCPA), Canada's Anti-Spam Legislation (CASL), and all other applicable federal, state, and local laws and regulations.
- Accurate consent records. You must accurately record the consent status and method of consent (verbal, written, web form, or point of sale) for each customer in our platform. You must not mark a customer as having consented to SMS if they have not in fact provided such consent.
- Opt-out compliance. You must honor all opt-out requests immediately. When a customer replies STOP (or any standard opt-out keyword) to an SMS sent through our platform, their consent status is automatically revoked. You must not re-enroll a customer who has opted out unless they provide new, express consent.
- Prohibited messaging. You must not use SMS features to send messages to customers who have not consented, who have opted out, or whose phone numbers were obtained without their knowledge. You must not send messages unrelated to the review request purpose for which consent was obtained.
- Message content. You must ensure that all SMS messages sent through the Service include accurate sender identification. All messages will automatically include opt-out instructions appended by our platform.
- Geographic availability. SMS features are currently available only for sending messages to phone numbers in the United States and Canada. Attempting to send SMS messages to phone numbers outside of these regions is not supported and may result in delivery failure.
StarFlywheel enforces consent at the platform level — customers without recorded SMS consent cannot receive SMS messages through our Service. However, you remain solely responsible for ensuring that consent was properly and lawfully obtained from your customers prior to recording it in our platform. Failure to comply with these requirements may result in suspension or termination of your account and SMS privileges. 4.2 Email Messaging Compliance
If you use email features available through the Service, you acknowledge and agree to the following:
- Consent and existing relationship. You are solely responsible for ensuring that each customer you email through our platform has either provided express consent to receive email communications from your business or has an existing business relationship with you, as required by the CAN-SPAM Act (US), Canada's Anti-Spam Legislation (CASL), the General Data Protection Regulation (GDPR), and all other applicable laws.
- Prohibited sources. You must not use our platform to email contacts obtained from purchased, rented, or scraped email lists, or any contacts who have not knowingly provided their email address to your business.
- Unsubscribe compliance. You must honor all unsubscribe requests promptly. All emails sent through our platform automatically include an unsubscribe link. When a customer unsubscribes, you must not re-add them to future campaigns unless they provide new, express consent.
- Accurate sender information. You must ensure that all emails sent through the Service accurately identify your business as the sender. You must not use misleading subject lines, false header information, or deceptive sender names.
- Message purpose. You must not use email features to send messages unrelated to the review request or business communication purpose for which the customer provided their email address.
StarFlywheel includes unsubscribe mechanisms in all emails sent through the platform. However, you remain solely responsible for ensuring that your email communications comply with all applicable laws and that your customers have consented to or reasonably expect to receive messages from your business. Failure to comply with these requirements may result in suspension or termination of your account and email privileges.
5. Subscription and Payment
The Service is offered on a subscription basis. By subscribing, you agree to pay the fees specified for your selected plan.
Free Trial: We offer a 7-day free trial period. No credit card is required to start your trial. If you do not cancel before the trial period ends, your subscription will automatically begin and you will be charged according to your selected plan.
Billing: Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are non-refundable except as required by law.
Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until the end of your paid period.
Price Changes: We reserve the right to modify our pricing at any time. We will provide at least 30 days' notice of any price changes. Price changes will apply to subsequent billing periods.
6. Intellectual Property
The Service and its original content, features, and functionality are owned by Ascend Net Solutions, LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.
7. User Content
You retain ownership of any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such content for the purpose of operating and providing the Service.
You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that:
- You own or have the necessary licenses, rights, consents, and permissions to use and authorize us to use your User Content
- Your User Content does not violate any third-party rights, including intellectual property rights, privacy rights, or publicity rights
- Your User Content does not contain any defamatory, libelous, offensive, indecent, or otherwise unlawful material
8. Third-Party Services
The Service may integrate with or link to third-party services, including but not limited to Google Business Profile, email providers, SMS providers, and payment processors. Your use of these third-party services is subject to their respective terms of service and privacy policies.
Information Shared with Third Parties. To deliver the Service, we share certain information with third-party service providers, including but not limited to:
- Twilio — Customer phone numbers and message content are shared with Twilio to deliver SMS review requests on your behalf. Twilio processes this data in accordance with their Privacy Policy and Terms of Service.
- Resend — Customer email addresses and message content are shared with Resend to deliver email review requests on your behalf.
- Stripe — Your payment and billing information is shared with Stripe to process subscription payments.
By using the Service, you consent to the sharing of your data and your customers' data with these third-party providers as necessary to operate the features you use. We only share the minimum information required to deliver each service. For full details on how we handle your data, please refer to our Privacy Policy.
We are not responsible for the availability, accuracy, or content of any third-party services. We do not endorse and are not responsible or liable for any content, advertising, products, or other materials on or available from such services.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
We do not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free
- The results that may be obtained from the use of the Service will be accurate or reliable
- The quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations
- Any errors in the Service will be corrected
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ASCEND NET SOLUTIONS, LLC, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.
IN NO EVENT SHALL ASCEND NET SOLUTIONS, LLC'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
11. Indemnification
You agree to defend, indemnify, and hold harmless Ascend Net Solutions, LLC and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:
- Your use and access of the Service
- Your violation of any term of these Terms
- Your violation of any third-party right, including without limitation any right of privacy or intellectual property rights
- Your violation of any applicable law, rule, or regulation
- User Content or any other content that is submitted via your account
12. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
If you wish to terminate your account, you may simply discontinue using the Service or cancel your subscription through your account settings.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
13. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
14. Governing Law
These Terms shall be interpreted and governed by the laws of the jurisdiction in which Ascend Net Solutions, LLC operates, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
